Welcome to Chark, Ltd. These Terms of Use ("Terms") govern your access to and use of our website, mobile applications (LawExams and Stay Studying), and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not access or use the Services.
By creating an account, downloading our applications, or otherwise accessing our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
You must be at least 13 years of age to use our Services. If you are under 18, you should use the Services only with the involvement of a parent or guardian, who is responsible for any in-app purchases. To make a purchase, you must be old enough to have a valid Apple App Store or Google Play account, or have permission from the account holder.
Chark, Ltd. provides educational mobile applications designed to help students study and prepare for exams. Our current offerings include:
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.
Our apps do not require you to create an account or sign in to use them. Your study progress is stored on your device. You are responsible for maintaining the security of your device and for any activity that occurs through it, including any in-app purchases made through your Apple App Store or Google Play account.
Both apps are free to download. The following terms apply to advertising and purchases:
We reserve the right to change our pricing and the features offered in the Services with reasonable notice. Any changes will not affect purchases you have already completed.
All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio, video, software, and the compilation thereof, are the exclusive property of Chark, Ltd. or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial educational purposes, subject to these Terms.
You agree not to use our Services to:
Our Services may allow you to create content such as flashcards, notes, and study materials ("User Content"). You retain ownership of your User Content, but by creating it within our Services, you grant us a non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Services to you.
You are solely responsible for your User Content and represent that it does not infringe on the intellectual property rights of any third party.
Educational Purpose Only: Our Services are designed as study aids and supplementary educational tools. They are not a substitute for formal legal education, professional legal advice, or official exam preparation courses. We do not guarantee that use of our Services will result in passing any exam.
As-Is Basis: Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our Services will be uninterrupted, error-free, or free of harmful components.
To the fullest extent permitted by applicable law, Chark, Ltd. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use our Services.
In no event shall our total liability to you for all claims arising out of or related to the Services exceed the amount you have paid to us in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Chark, Ltd. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your use of our Services.
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or our Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Clark County, Nevada. Each party shall bear its own costs and attorneys' fees.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
You may stop using the Services at any time by uninstalling the apps. Any in-app purchase you have already completed (such as removing ads in LawExams) is non-refundable except as required by the policies of the Apple App Store or Google Play or by applicable law.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
We encourage you to review these Terms periodically for any changes.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Chark, Ltd. regarding the use of our Services and supersede all prior agreements and understandings.
